These Terms of Service and End User License Agreement (the “Agreement”) govern your use of the website marketsontheflow.com and of all software, indicators, statistical models, automated strategies, drawing tools, documentation and updates provided by Markets On The Flow, a trade name of Off Blue, LLC (“MOTF”, “we”, “us”), Aventura, Florida 33160, United States. By creating an account, purchasing a license, downloading, installing or using any MOTF software, you (“you” or “Customer”) agree to this Agreement. If you do not agree, do not purchase, download or use the software.

1. Definitions

“Software” means any MOTF indicator, statistical model, automated strategy, drawing tool or add-on for the NinjaTrader® 8 platform, including updates and documentation. “NinjaTrader Account” means the NinjaTrader user account, identified by its email address, that you provide at purchase and to which your license is assigned. “Customer Portal” means your account area on our website.

2. License grant

Subject to your payment and compliance with this Agreement, MOTF grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software you purchased, in object-code form only, for your own trading and analysis. Unless stated otherwise at purchase, licenses are one-time purchases with lifetime use of the purchased Software. The Software is licensed, not sold; MOTF retains all ownership rights.

3. License activation and NinjaTrader Account

Licenses are issued through NinjaTrader’s vendor licensing system and are assigned to the NinjaTrader Account email address you provide at purchase. Please make sure that email is correct; MOTF is not responsible for delays caused by an incorrect email. Licenses are usually activated within a few hours after successful payment (nights, weekends and holidays may take longer).

Your license is for your personal use. You may use the Software on any computer where you are signed in to NinjaTrader with that NinjaTrader Account, and on up to two (2) computers at the same time, in line with NinjaTrader’s own limit on simultaneous sign-ins. NinjaTrader’s platform and login rules apply and may change. Sharing your NinjaTrader Account or license with others is prohibited. To move a license to a different NinjaTrader Account, please contact Support.

5. Purchases and payment

Prices are shown on our website in U.S. dollars and may change at any time; changes do not affect licenses already purchased. Payments are processed by our payment provider, Stripe, on a secure Stripe payment page; MOTF does not store your full card details. You are responsible for any taxes applicable to your purchase. Download access is delivered electronically after successful payment, and your license is activated on your NinjaTrader Account as described in Section 3.

6. Refund policy

Because the Software is a digital product that cannot be returned, all sales are final and non-refundable once the license has been activated on your NinjaTrader Account. Exceptions: (a) duplicate charges for the same product will be refunded; and (b) if a technical issue on our side prevents activation and our support team cannot resolve it within a reasonable time, we may, at our discretion, issue a refund. Please contact Support before opening a payment dispute. Initiating a chargeback or payment dispute for a delivered license may result in immediate license revocation.

7. Updates and support

We may provide updates, fixes or new versions of the Software at our discretion. We may modify, improve or discontinue features. Support is provided through our Support page and Documentation during reasonable business hours. We do not guarantee that the Software will remain compatible with future versions of NinjaTrader, operating systems, data feeds or brokers.

8. Third-party platforms, data and brokers

The Software requires the NinjaTrader 8 platform and depends on third-party market data, connectivity and brokerage services that MOTF does not control. MOTF is not responsible for the availability, accuracy, latency or performance of any third-party platform, data feed, broker or exchange, including data errors, disconnections, platform changes or order-execution differences. NinjaTrader® is a registered trademark of NinjaTrader Group, LLC; other names and marks belong to their respective owners.

9. No investment advice; trading risk

The Software and all website content are analytical and educational tools provided for informational purposes only. They do not constitute investment, financial, trading or tax advice, a recommendation, or an offer or solicitation to buy or sell any financial instrument. Indicators, statistics, chart annotations, automated entries and historical or hypothetical results do not guarantee future results. You are solely responsible for your trading decisions, orders, risk management and any gains or losses. Futures and forex trading contains substantial risk and is not for every investor. 10. Automated strategies

Automated strategies execute orders based on configurable rules and may behave differently in live markets than in simulation, replay or backtests due to slippage, latency, liquidity, data differences, platform behavior or connectivity. You are responsible for configuring, testing, supervising and stopping any automated strategy, and for all orders it places on your account.

11. Intellectual property

The Software, its code, statistical methods, designs, documentation, the MOTF name, logos and website content are owned by MOTF or its licensors and are protected by copyright, trademark and other laws. Except for the limited license granted in this Agreement, no rights are transferred to you.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. MOTF DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL PRODUCE ANY PARTICULAR TRADING RESULT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTF SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SOFTWARE, THE WEBSITE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MOTF’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless MOTF from any claims, losses, damages and expenses, including reasonable attorneys’ fees, arising from your use of the Software, your trading activity, or your breach of this Agreement.

15. Termination

This Agreement remains in effect while you hold a license. MOTF may suspend or terminate your license and account, without refund, if you breach this Agreement, including by sharing your license or NinjaTrader Account, attempting to bypass licensing, or initiating an unfounded payment dispute. Upon termination you must stop using and delete the Software. Sections 4, 8, 9 and 11–17 survive termination.

16. Governing law and venue

This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

17. Changes to this Agreement

We may update this Agreement from time to time. The “Last updated” date above shows the latest version. Continued use of the Software or website after changes are posted means you accept the updated Agreement.
